IFC discloses a venture deal before its own board votes

IFC's Access to Information Policy sets a 30- or 60-day pre-board disclosure window for each proposed investment, including venture and growth equity.

The record

The International Finance Corporation, the World Bank Group's private-sector arm, discloses individual investments, including venture and growth-equity commitments, before its Board acts on them. The governing document is the 2012 IFC Access to Information Policy, effective 1 January 2012 and amended 25 November 2013, which states that for each proposed investment IFC discloses a Summary of Investment Information (SII) giving the investee's identity, shareholders, the amount and nature of IFC's investment, the projected Board decision date and IFC's own environmental and social categorisation. IFC's Disclosure Portal restates this as its 'what does IFC disclose' commitment under the same 2012 policy.

What the sources establish

The policy sets an explicit timing ceiling rather than a vague promise: paragraph 34 states IFC makes the SII and its environmental and social review 'publicly available no later than sixty days, in the case of Category A projects, and thirty days, in the case of all other projects, prior to consideration of the investment for approval by IFC's Board of Directors.' IFC's own venture capital sector page states that, as of data given as of June 2024, IFC had committed USD 3 billion to date across more than 175 direct technology-company investments and more than 120 commitments to venture, seed and accelerator funds. The disclosure portal's project-level pages exist for named entries, but the specific status, amount and date fields on any one project page are rendered only when the page is loaded live in a browser; they were not present in the underlying document I retrieved.

Scope and revision

Pre-Board disclosure is a process commitment, not a record of what was ultimately approved. The SII is published while a deal is 'still under consideration,' the policy states, and IFC updates it as the deal evolves; a project page can therefore describe a proposal that is later modified, delayed or not approved at all. The sixty- and thirty-day windows are minimums measured backward from a projected Board date, so a project disclosed today may not reach the Board for weeks. IFC's venture figures are IFC's own cumulative program totals, not a single fund's return, and are dated to when the sector page was last updated, not to this retrieval.

The decision in front of you

A founder or co-investor checking an IFC-backed deal should open the live project page and read its status field directly, rather than relying on a cached description, since the disclosure record is a dynamically served system built to be updated. This is an editorial caution rather than something the policy itself states in those terms.

  • Does the project page's status field show the investment as proposed, approved, or since withdrawn?
  • Was the sixty-day or thirty-day disclosure window measured from the categorisation stated on the page?
  • Is the USD 3 billion venture figure being compared against a similarly cumulative total from another institution, rather than a single-year flow?

Few venture-stage investors publish anything before signing; IFC's policy requires a public summary before its own Board even votes, which is a different kind of transparency from a return report filed after the fact.
