The record
On 8 August 1995, Netscape Communications Corporation's stock began trading publicly, sixteen months after founding. No copy of the original 1995 registration statement is on the SEC's EDGAR system, because mandatory electronic filing did not reach every registrant until May 1996. The earliest verifiable SEC record is a prospectus filed fifteen months later, for a follow-on stock sale. It states plainly: 'The Company made its initial public offering on August 8, 1995 at a price of $14 per share.' It also records that the stock traded between $22.875 and $37.375 in its first partial quarter, and that by 11 November 1996 shares changed hands at $53.75.
What the sources establish
The $14 figure is not what 1995 buyers paid. The same paragraph explains that 'all prices have been restated to reflect a two-for-one stock split effected in January 1996.' A two-for-one split doubles share count and halves per-share price, so the arithmetic the filing itself discloses implies an original offering price of $28, the figure widely remembered, though this document never restates it directly. A separate SEC record, Netscape's amended annual report filed 7 May 1996, adds a second point: as of 7 March 1996 the company had 81,293,480 shares outstanding and a non-affiliate market value of roughly $1.51 billion, on the Nasdaq National Market under Commission File No. 0-26310. Together the filings show price and share count both moving substantially within the first year, restated by later paperwork rather than any surviving 1995 document.
Scope and revision
Every number here comes from a company's own SEC filing, but each was written for a different purpose. The prospectus's price-range table supports a 1996 stock sale, not 1995 history; the restatement note is a courtesy, not an archive. The annual-report amendment exists only to correct a cover-page share count. Neither states the shares originally offered or the underwriters' spread, and neither is a complete IPO history. A reader wanting the original registration statement will not find it on EDGAR, since the IPO predates mandatory coverage.
The decision in front of you
This is an editorial checklist, not investment guidance. When a historical price is quoted from memory, check whether it predates a stock split, a currency change, or a share-class conversion, any of which can silently change a 'price' without changing what an early investor paid. When the original registration document is unavailable, a later filing that references the event can still be legitimate, provided it is read as a restatement, not a first print.
- Does the quoted price predate or postdate every stock split the company has completed since?
- Is the source restating a historical figure, or is it the original document?
- What does the filing omit, such as shares offered or underwriting terms, that a fuller record would show?
Netscape's own paperwork, filed over a year after the fact, is the clearest surviving SEC record of a moment that set the pattern for every 'first internet IPO' comparison since. That the record needs translation before it can be compared to 1995 headlines is a smaller, more durable lesson than the $28 figure most people remember.
